I. Subject Matter

Article 1.

These General Terms and Conditions govern the relations between INTIEL Ltd., with registered office and address at 10 Mayor Kolontaevski St., Pomorie, Bulgaria, Unified Identification Code 205912246, hereinafter referred to as “INTIEL”, and the customers, hereinafter referred to as “Users”, of the online store available www.intiel.com, hereinafter referred to as the “Online Store”.

 

II. Information about INTIEL

III. Features of the Online Store

Article 3.
The Online Store is an online store accessible at www.intiel.com, through which Users are able to enter into contracts for the purchase and delivery of goods offered by the Online Store, including the ability to:

  1. Register and create a user account for browsing the Online Store and using additional information services;
  2. Make electronic statements in connection with the conclusion or performance of contracts with the Online Store through the interface of the Online Store website accessible via the Internet;
  3. Conclude contracts for the purchase and delivery of goods offered by the Online Store;
  4. Make payments in connection with concluded contracts with the Online Store, in accordance with the payment methods supported by the Online Store;
  5. Receive information about new goods offered by the Online Store;
  6. View goods, their characteristics, prices, and delivery conditions;
  7. Be informed of their statutory rights, primarily through the interface of the Online Store website available on the Internet.

Article 4.
INTIEL shall deliver the goods and guarantee the rights of the Users as provided by applicable law, in accordance with the principles of good faith, established commercial practices, and the criteria and conditions of consumer and commercial law.

Article 5.
(1) Users
enter into a contract for the purchase of goods offered by the Online Store through the interface available on the website at www.intiel.com or through another means of distance communication.
(2) Pursuant to the purchase contract concluded with the User, INTIEL undertakes to deliver and transfer ownership of the goods selected by the User through the interface.
(3) Users shall pay INTIEL remuneration for the delivered goods in accordance with the terms set out in the Online Store and these General Terms and Conditions. The remuneration shall be equal to the price announced by INTIEL on the Online Store website.
(4) INTIEL shall deliver the goods ordered by the Users within the time limits and under the conditions specified on the Online Store website and in accordance with these General Terms and Conditions.
(5) The delivery price shall be determined separately and explicitly from the price of the goods.

Article 6.
(1)
The User and INTIEL agree that all statements exchanged between them in connection with the conclusion and performance of the purchase contract may be made electronically and by means of electronic statements within the meaning of the Electronic Document and Electronic Trust Services Act and Article 11 of the Electronic Commerce Act.
(2) It shall be presumed that electronic statements made by the User originate from the person identified in the data provided by the User during registration, provided that the User has entered the relevant username and access password.

 

IV. Use of the Online Store

Article 7. Registration
(1)
In order to use the Online Store for concluding contracts for the purchase of goods, the User shall be required to enter a username and password chosen by the User for remote access, in cases where registration is required by the Online Store.
(2) The username and password for remote access shall be determined by the User through electronic registration on the INTIEL website.
(3) By completing the registration details and clicking the “Register” button, the User declares that they are familiar with these General Terms and Conditions, agree to their content, and undertake to comply with them unconditionally.
(4) INTIEL shall confirm the registration completed by the User by sending an email to the email address provided by the User, which shall also contain information for activation of the registration. The User shall confirm the registration and the conclusion of the contract by following an electronic link contained in the email sent by INTIEL notifying the User of the completed registration. Upon confirmation, a user account shall be created and contractual relations shall arise between the User and INTIEL.
(5) Upon registration, the User undertakes to provide accurate and up-to-date information. The User shall promptly update the information provided during registration in the event of any change.

Article 8. Primary Contact Email Address
(1)
The email address provided during the User’s initial registration, as well as any subsequent email address used for the exchange of statements between the User and INTIEL, shall constitute the Primary Contact Email Address within the meaning of these General Terms and Conditions. The User shall have the right to change their Primary Contact Email Address.
(2) Upon receipt of a request to change the Primary Contact Email Address, INTIEL shall send a request for confirmation of the change. The confirmation request shall be sent to the new Primary Contact Email Address specified by the User.
(3) The change of the Primary Contact Email Address shall take effect after confirmation by the User, expressed by following a link contained in the confirmation request sent by INTIEL to the new Primary Contact Email Address specified by the User.
(4) INTIEL shall notify the User of the completed change by sending an email to the Primary Contact Email Address specified by the User prior to the change under paragraph (2).
(5) INTIEL shall not be liable to the User for any unauthorized change of the Primary Contact Email Address.
(6) INTIEL may require the User to use the Primary Contact Email Address in specific cases.

 

V. Technical Steps for Concluding a Sales Contract

Article 9. Conclusion of the Contract
(1) Users
primarily use the interface of the INTIEL website to conclude contracts for the purchase of goods offered by INTIEL through the Online Store.
(2)
The contract between INTIEL and the User shall consist of these General Terms and Conditions, available at www.intiel.com
(3) A party to the contract with INTIEL shall be the User, in accordance with the data provided during registration and contained in the User’s personal profile. For the avoidance of doubt, this shall be the data used to create the account at www.intiel.com
(4) INTIEL shall provide technical means within the interface of its website for identifying and correcting errors in the input of information prior to the submission of the statement for concluding the contract.
(5) This contract shall be deemed concluded at the moment of the User’s registration with INTIEL. The contract for the purchase of goods shall be deemed concluded at the moment the User places an order for the goods through the interface of the website www.intiel.com
(6) INTIEL shall expressly notify the User, in an appropriate manner and by electronic means, of the conclusion of this contract and of the conclusion of the contract for the purchase of goods.
(7) The statement for concluding the contract and the confirmation of its receipt shall be deemed received when the addressees have the possibility of accessing them.
(8) INTIEL shall deliver the goods to the address specified by the Users and shall not be liable in the event that the data provided by the Users is inaccurate or misleading.

Article 10. Procedure for Concluding a Purchase Contract
Users
shall conclude a contract for the purchase of goods with INTIEL through the following procedure:

  1. Registration in the Online Store and provision of the required data, if the User has not previously registered in the Online Store;
  2. Logging into the Online Store order system by identifying with a username and password;
  3. Selecting one or more goods offered in the Online Store and adding them to the shopping cart;
  4. Providing delivery details;
  5. Selecting the method and time of payment of the price;
  6. Confirmation of the order.

 

VI. Specific Obligations of INTIEL. Consumer Protection

Article 11. Applicability to Consumers
The rules of this Section VI of these General Terms and Conditions shall apply to Users who, based on the data provided for the conclusion of the purchase contract or during registration in the Online Store, may be identified as consumers within the meaning of the Consumer Protection Act, the Electronic Commerce Act, and/or Directive 97/7/EC of the European Parliament and of the Council of 20 May 1997 on the protection of consumers in respect of distance contracts.

Article 12. Information on Goods and Prices
(1)
The main characteristics of the goods offered by INTIEL are set out in the profile of each product on the Online Store website.
(2)
The price of the goods shall be determined by INTIEL and indicated in the profile of each product on the Online Store website.
(3)
The cost of postal and transport services not included in the price of the goods shall be determined by the courier company selected by the User.
(4) The method of payment, delivery, and performance of the contract shall be determined in these General Terms and Conditions, as well as in the information provided to the User on the INTIEL website.
(5) The information provided to Users under this Article shall be valid and up to date at the time of its display on the INTIEL Online Store website prior to the conclusion of the purchase contract.
(6) INTIEL shall explicitly indicate the delivery conditions of the goods on the Online Store website.
(7)
Prior to the conclusion of the contract, INTIEL shall indicate the total amount of the order for all goods included therein.

Article 13. Payments
(1)
The User agrees that INTIEL shall have the right to require advance payment for the purchase contracts concluded with the User for goods and their delivery.
(2) The User shall independently choose whether to pay the price of the goods to INTIEL prior to or at the time of delivery.

Article 14. Right of Withdrawal
(1)
The User shall have the right, without owing any compensation or penalty and without stating any reason, to withdraw from the concluded contract within 14 days from the date of receipt of the goods.
(2) The right of withdrawal under paragraph (1) shall not apply in the following cases:

  • for the delivery of goods or provision of services whose price depends on fluctuations in the financial markets which INTIEL is unable to control;
  • for the delivery of goods manufactured according to the User’s requirements or made to the User’s individual order.

(3) Where INTIEL has failed to comply with its obligations to provide information as set out in Article 47, paragraph 1, item 8 of the Consumer Protection Act, the User shall have the right to withdraw from the concluded contract within a period of up to one year and fourteen days from the date of receipt of the goods. Where the information under this paragraph is provided to the User within the withdrawal period, the withdrawal period shall commence from the date on which such information is provided.
(4) In the event that the User exercises the right of withdrawal under paragraph (1), INTIEL shall reimburse in full the amounts paid by the User no later than 14 calendar days from the date on which the User has exercised the right of withdrawal from the concluded contract. From the amount paid by the User under the contract, the costs of returning the goods shall be deducted, unless the User has returned the goods at their own expense and has notified INTIEL thereof.
(5) The User undertakes to store and preserve the goods received from INTIEL, as well as their quality and safety, during the period under paragraph (1).

 

VII. Delivery Terms and Timeframes

Article 15. Delivery Time
(1)
The delivery period for the goods and the starting moment from which it runs shall be determined at the time of concluding the contract with the User through the Online Store website or through other means of communication.
(2) Where the User and INTIEL have not agreed on a delivery period, the delivery period for the goods shall be 30 business days from the date of placing the order.
(3) If INTIEL is unable to perform the contract due to the unavailability of the ordered goods, it shall be obliged to notify the User thereof and to reimburse the amounts paid by the User within 30 business days from the date of placing the order.
(4) In the cases under paragraph (3), INTIEL shall have the right to deliver goods of the same quality and at the same price. INTIEL shall inform the User of the change in the performance of the contract.

Article 16. Delivery Liability
(1) INTIEL
shall not be liable for delays where such delays are due to a courier or another delivery service provider.
(2) In the event that an incorrect or inaccurate address, contact person, and/or telephone number is provided when submitting the order, INTIEL shall not be bound by any obligation to perform the order.
(3) Where the User cannot be found at the specified address within the delivery period or where access and conditions for delivery of the goods are not provided within that period, INTIEL shall be released from its obligation to deliver the goods ordered for purchase.
(4)
The User or a person authorized by the User shall inspect the goods at the time of delivery and handover by the courier or other delivery service provider and shall immediately notify INTIEL if the goods do not comply with the requirements.

 

VIII. Warranty Periods

Article 17.
The warranty period for the products shall be 24 months from the date of sale or from the date of installation by a specialized company, but no later than 28 months from the date of manufacture. The warranty covers defects arising during the warranty period as a result of manufacturing causes or defects in materials.

The warranty shall not apply to defects resulting from improper or unqualified installation of the system, interference with the product’s structure, or improper storage and transportation.
Warranty repairs shall be performed only upon presentation of a duly completed manufacturer’s warranty card accompanying the product at the time of sale.

 

IX. Prices

Article 18.
The prices indicated on the website apply to quantities of 1–5 units (of the respective product), include VAT, and do not include delivery to the User’s address. The cost of domestic delivery within the country shall be determined by the courier providing the service.

In the event that the goods are shipped outside the territory of the Republic of Bulgaria, the User shall be responsible for paying all customs duties and other fees related to the export.

 

X. Personal Data Protection

Article 19.
(1) INTIEL
guarantees the confidentiality of the information and personal data provided by its Users. Such data shall not be used, disclosed, or made available to third parties, except in the cases and under the conditions set out in these General Terms and Conditions. INTIEL protects the User’s personal data obtained through the completion of the electronic purchase order form, provided that this obligation shall not apply where the User has provided inaccurate or false data. In compliance with applicable legislation and the provisions of these General Terms and Conditions, INTIEL may use the User’s personal data solely for the purposes envisaged in the contract. Any other purposes for which personal data may be used shall comply with Bulgarian legislation, applicable international acts, Internet ethics, and the principles of morality and good faith. INTIEL shall take measures to protect the User’s personal data in accordance with the Personal Data Protection Act.
(2) INTIEL undertakes not to disclose any personal data of the User to third parties, including public authorities, commercial entities, individuals, or other persons, except where it has obtained the User’s explicit written consent, or where such information is requested by public authorities or officials who, under applicable law, are authorized to request and collect such information. In such cases, INTIEL shall be obliged to provide the information as required by law.

XI. Amendments and Termination

Article 20.
(1) INTIEL
may amend these General Terms and Conditions at any time and shall also have the right to modify the characteristics of the services provided and these General Terms and Conditions on the grounds of changes in applicable legislation. INTIEL undertakes to notify the User of any amendments to the General Terms and Conditions by publishing a notice of such amendments in a prominent place on its website and by granting the User a reasonable period to become acquainted with them. If, within such period, the User does not declare that they reject the amendments, the User shall be deemed bound by them. In the event that the User declares within the specified period that they do not agree with the amendments, INTIEL shall have the right to immediately suspend or terminate the provision of services to the User.

Article 21.
These General Terms and Conditions and the contract between the User and INTIEL shall be terminated in the following cases:

  • upon termination and liquidation or declaration of insolvency of either party to the contract;
  • by mutual agreement of the parties in writing;
  • unilaterally, with prior notice by either party in the event of non-performance of the obligations of the other party;
  • in the event of an objective impossibility for either party to perform its obligations under the contract;
  • in the event of deletion of the User’s registration on the Online Store website. In such case, any purchase contracts concluded but not yet performed shall remain in force and subject to performance;
  • in the event of exercise of the right of withdrawal pursuant to Article 55, paragraph 1 of the Consumer Protection Act.

 

XII. Miscellaneous

Article 22. The possible invalidity of any provision of these General Terms and Conditions shall not result in the invalidity of the entire contract.

Article 23. All matters not expressly regulated by this contract relating to its performance and interpretation shall be governed by the laws of the Republic of Bulgaria.

Article 24. All disputes between the parties shall be resolved in a spirit of understanding and good faith. If no agreement is reached, any unresolved disputes, including disputes arising out of or relating to the interpretation, validity, performance, or termination of this contract, as well as disputes concerning the filling of gaps in the contract or its adaptation to newly arisen circumstances, shall be resolved by the competent court or the Consumer Protection Commission, in accordance with Bulgarian law.

Article 25. These General Terms and Conditions shall enter into force and apply to all Users of www.intiel.com

 

XIII. Definitions

Article 26. “User” shall mean any person who has accessed and loaded the website www.intiel.com on their computer or mobile device.

Article 27. “Order” shall mean the selected goods and any other attributes related to the method of delivery and payment of the goods by the User.

Article 28. The website www.intiel.com and the online store operated through it are the property of INTIEL.
